This Supply of Service Agreement ("Agreement") is entered into between Deluxe Datum Limited, a digital marketing agency registered in Hong Kong, hereinafter referred to as the "Supplier," and the company or individual accessing the Supplier's services through its website, hereinafter referred to as the "Client."
The Supplier agrees to provide the Client with digital marketing services, including but not limited to SEO, paid media services, marketing consultancy, and campaign optimisation services as detailed on the Supplier's website.
This Agreement shall commence on the date of acceptance by the Client and shall remain in effect unless terminated by either party in accordance with the terms of the specified Agreement. Project delivery dates will be specified and agreed to by both parties in the respective SLAs for the services required.
The Client agrees to pay the Supplier in a timely manner for the services rendered. Payment terms and amounts will be specified in the necessary Service Level Agreements, and will be agreed to by both parties upon signing.
The Client agrees to cooperate with the Supplier and provide necessary information, access, and permissions required for the provision of the services. The Client acknowledges that the results of the services may depend on the Client's cooperation and timely provision of information.
All intellectual property rights in the services provided by the Supplier shall remain the property of the Supplier. The Client shall not use, reproduce, or distribute the services without the Supplier's prior written consent.
Both parties agree to keep confidential any information disclosed during the provision of the services and not to disclose such information to third parties without the other party's consent.
This Agreement shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions.
This Agreement constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements and understandings.
